By accepting these Terms and Conditions, you expressly acknowledge and agree that you are making formal representations and warranties to Waypoint Knowledge Solutions, including its affiliates, subsidiaries, and associated entities (collectively referred to as “Waypoint Knowledge”), as well as to its clients. You commit to fulfilling all obligations and responsibilities outlined in these Terms and Conditions.
Any amendments or updates to this agreement will be communicated via email and published on the official Waypoint Knowledge Solutions website.
Waypoint Knowledge Solutions operates a curated network of industry professionals, collectively referred to as the Waypoint Expert Panel. This platform is designed to connect knowledge seekers with experienced subject matter experts across a wide range of domains. The Expert Panel offers valuable insights and real-world perspectives from seasoned professionals, enabling researchers, consultants, analysts, and strategy teams to make more informed and strategic decisions.
Experts engaged through Waypoint may participate in a variety of knowledge-sharing formats, including telephonic consultations, online surveys, in-person meetings, and long-term research collaborations.
Waypoint Expert Panel (WEP): The network of vetted and approved industry professionals maintained by Waypoint Knowledge Solutions.
Experts or WEP Members: Individuals who are part of the Waypoint Expert Panel. These members are verified subject matter experts in specific domains and possess relevant skills and industry expertise.
Clients: Entities that engage Waypoint Knowledge Solutions for expert consultations, strategic insights, or research-based projects.
Engagements: Knowledge-sharing activities wherein clients interact with members of the Waypoint Expert Panel. These may include telephonic consultations, in-person meetings, online surveys, or long-term research assignments.
Engagement Fees: The professional fee paid by Waypoint Knowledge Solutions to the expert upon successful participation in and completion of an engagement.
Offer for Engagement: A formal proposal issued by Waypoint Knowledge Solutions to an expert, outlining the scope of the engagement, agenda, duration, and corresponding engagement fees.
Engagement Content: All content created, shared, licensed, or otherwise provided to the client by the expert or on behalf of the expert during the course of the engagement.
Confidential Information: Any information disclosed to you, or any third party acting on your behalf, by Waypoint Knowledge Solutions, its clients, or other WEP Members, which pertains to or arises out of the subject matter of this Agreement. This includes, but is not limited to, information disclosed before or after the commencement date of this Agreement, in any form—written, oral, digital, or otherwise.
This refers to your professional biography, including educational background, industry experience, history of previous consultations, and any other related information shared as part of your participation in the Waypoint Expert Panel.
Membership: You may apply for membership in the Waypoint Expert Panel (WEP) by registering on the official website of Waypoint Knowledge Solutions. However, acceptance into the panel is subject to a formal review and approval process, which remains at the sole discretion of Waypoint Knowledge Solutions.
It is your sole responsibility to identify and resolve any potential conflicts of interest or professional obligations that may impact your participation, and to secure all required approvals prior to joining the WEP.
Expert Tutorial:
By proceeding with registration, you confirm that you have read, understood, and successfully completed the Expert Tutorial provided by Waypoint Knowledge Solutions.
Accuracy of Information:
You agree to provide accurate, up-to-date, and complete biographical and professional information to Waypoint Knowledge Solutions. This includes, but is not limited to:
You also agree not to misrepresent your identity, credentials, or professional background in any way, including through false claims of positions held or affiliations with organizations.
You are solely responsible for maintaining the accuracy and integrity of your WEP Information, which encompasses all personal and professional details shared with Waypoint or its Clients. While Waypoint Knowledge Solutions may update your profile based on inputs received, it is your duty to verify and ensure the correctness of your information at all times.
You further agree not to participate in any client engagement unless your WEP Information is accurate, complete, and current.
Independent Contractor:
It is understood and agreed that any services you perform under these Terms and Conditions shall be rendered in the capacity of an independent contractor and consultant. You shall not, under any circumstances, be considered an employee of Waypoint Knowledge Solutions or its Clients, nor shall you be entitled to any employment-related benefits from either party. Nothing in this Agreement shall be interpreted as establishing a joint venture, partnership, employer-employee, principal-agent, or mutual agency relationship between you and Waypoint or its Clients. You shall have no authority, expressed or implied, to create obligations or enter into commitments on behalf of Waypoint Knowledge Solutions or its Clients.
Exclusivity:
This Agreement does not establish any exclusive relationship between you and Waypoint Knowledge Solutions. You are free to engage with other expert networks, organizations, or companies unless otherwise agreed in writing as a condition of premium membership status in the Waypoint Expert Panel (WEP).
Participation in Engagements:
You may participate only in those engagements that are explicitly proposed or pre-approved in writing by Waypoint Knowledge Solutions. If a Client independently requests additional work or follow-up consultations, you must obtain formal written approval from Waypoint before proceeding. You retain the discretion to accept or decline any engagement, but you are expected to communicate your decision within a reasonable timeframe.
Assignment and Scope of Engagements:
You may receive requests from Waypoint to participate in engagements relevant to the expertise stated in your biographical profile. The scope, context, and agenda of the engagement will be shared in writing to ensure that you fully understand the objective and expectations of the discussion. At the time of offering an engagement, Waypoint or its Clients may request additional disclosures about your expertise or ability to consult on specific subject matter. By accepting an engagement, you confirm that all biographical information provided is accurate, up to date, and not misleading, and that you possess sufficient knowledge and familiarity with the subject matter of the engagement.
Frequency:
Waypoint Knowledge Solutions makes no guarantees regarding the volume, frequency, or continuity of engagements. Invitations to participate are extended solely at the discretion of Waypoint and may vary over time.
Expectation of Service:
You are expected to accept or decline an engagement invitation within 48 hours of receipt. For accepted engagements, scheduling must be completed within five (5) business days of client approval of your profile. If you anticipate being unavailable during the proposed timeframe, you are expected to decline the engagement. You are further expected to respond to communication from Waypoint—via telephone or email—within 24 hours, or within a reasonable period in exceptional circumstances.
Duration of Engagement:
You are required to report the actual duration of the engagement to Waypoint Knowledge Solutions within five (5) business days of its conclusion. Clients reserve the right to terminate the call within the first ten (10) minutes without providing any reason. In such cases, the session will be deemed non-billable, and no compensation will be provided for the engagement.
Prohibited Consultations:
You agree to decline or discontinue participation in any engagement, in whole or in part, and to promptly notify Waypoint Knowledge Solutions if your involvement could result in any of the following:
Relationship to a Company or Entity:
You agree to decline or discontinue any engagement involving a specific company or entity, whether public or private, if any of the following conditions apply:
Healthcare Professionals:
If you are a professional in the healthcare or medical sector, you agree not to participate in any engagement that involves:
Licensed Professionals:
If you are a licensed or regulated professional in fields such as law, medicine, accounting, or taxation, you are prohibited from providing formal or binding professional advice through Waypoint Knowledge Solutions unless you have taken appropriate steps to ensure full compliance with the legal, ethical, and regulatory requirements of your profession and jurisdiction.
Inducements and Improper Influence:
Clients of Waypoint Knowledge Solutions are strictly prohibited from influencing or attempting to influence your professional decisions regarding the prescription, purchase, referral, recommendation, or use of any product, service, device, or drug. If a Client attempts to market a product or service, offers inappropriate incentives, or attempts to improperly influence your decision-making in any way, you must immediately terminate the engagement and report the incident to Waypoint Knowledge Solutions without delay.
Representations and Warranties: You represent, warrant, and undertake that, as of the date you accept these Terms and Conditions and throughout the duration of this Agreement:
Expert Profile Information: All biographical and related details provided to Waypoint Knowledge Solutions are accurate, complete, current, and not misleading in any respect. You agree to notify Waypoint Knowledge Solutions promptly of any changes to your employment or professional status. Specifically, you must disclose if you:
Conflict of Interest: You shall not participate in any engagement that may give rise to a conflict of interest, including scenarios outlined in Sections 5.1 and 5.2.
Respect for Existing Obligations: Your participation with Waypoint Knowledge Solutions does not and will not breach any existing employment obligations, confidentiality agreements, non-compete clauses, or other legal or contractual restrictions.
Required Approvals: You confirm that all necessary approvals, consents, and waivers have been obtained from any relevant parties—including your current employer or organizations with which you have advisory relationships—to join the Waypoint Expert Panel (WEP).
Professional Compliance: If you provide services governed under Section 5.4, you represent that your actions do not contravene any professional standards, laws, regulations, or ethical codes relevant to your field.
Prior Misconduct: You confirm that you have not been subject to any legal or regulatory findings for insider trading, market abuse, financial misconduct, or similar offenses. You will immediately notify Waypoint Knowledge Solutions of any investigation or charge that arises during the term of this Agreement.
Tax Responsibility: You are solely responsible for complying with applicable tax regulations in your jurisdiction, including payment of taxes on compensation received from Waypoint Knowledge Solutions. Upon reasonable request, you agree to furnish proof of such compliance.
Non-Disclosure: Confidential Information remains the exclusive property of the disclosing party and shall be treated as such. You agree not to disclose, reproduce, or use any such information without explicit written authorization, except as permitted under this Agreement.
Legal Requirement for Disclosure: Disclosure of Confidential Information required by law or government authority must be preceded by notice to Waypoint Knowledge Solutions, to the extent legally permissible, so protective measures may be sought.
Safeguarding Confidentiality: You agree to use reasonable precautions, at least equal to those applied to your own confidential information, to maintain the confidentiality of all proprietary materials shared with you.
Limited Usage for Consent: You may disclose limited, non-sensitive information regarding the nature of your engagement solely to obtain necessary third-party approvals, and only on a "minimum required" basis.
Copyright and Use Restrictions: All materials provided by Waypoint Knowledge Solutions are proprietary and protected. You may not reproduce, distribute, or use them without prior written permission.
Consent to Recordings: Where notified, your participation may be audio- or video-recorded or transcribed (including via AI). By accepting an engagement, you consent to such recordings and their use by Waypoint Knowledge Solutions or its clients for legal or business purposes.
Exceptions: Confidentiality obligations do not extend to information already in the public domain through no breach by you.
Waypoint Content: All intellectual property provided by Waypoint Knowledge Solutions remains its exclusive property or that of its licensors.
Original Material: You warrant that any content (reports, data, charts, etc.) submitted to clients is your original work or you have secured the appropriate rights for its use.
Client Ownership: Content created during a client engagement will be solely owned by the client, including any resulting intellectual property.
Pre-existing Expert Content: You retain rights to content developed independently or prior to any engagement. However, you grant clients a perpetual, worldwide, royalty-free license to use such content in any format for any purpose.
Recorded Content: Any recordings made with your consent are the exclusive property of Waypoint Knowledge Solutions or its clients and may be used for promotional, commercial, or legal purposes.
By joining the Waypoint Expert Panel or visiting our website, you consent to the collection and use of your personal data as described herein.
Information Collection: We may collect personal and professional information through direct submission or third-party sources, including data from current or past employers.
Authenticity & Verification: Waypoint reserves the right to verify your profile and engagement activities through third-party services.
Use of Data: Your data is used to match you with relevant engagements, process payments, and communicate updates.
Cookies: Our website uses cookies to enhance user experience; these do not store personally identifiable data.
Third-Party Links: We are not responsible for the privacy policies of external sites linked on our website.
Data Storage: Your information may be stored in India and accessed globally by Waypoint and its affiliates.
Post-Termination Use: Your data will not be used for future promotions after termination but may persist in public or client-facing materials as permitted during your engagement.
For one year following the last engagement or termination of your association with Waypoint, you agree not to directly solicit or offer services to any clients introduced to you by Waypoint Knowledge Solutions, nor solicit or hire any of its employees or those of its clients.
Hourly Rate: You may set or revise your consultation rate at any time.
Engagement Fee: Calculated based on your hourly rate and time spent. Payment is made within 30 business days of client validation.
Referral Fee: You may earn 10% of referred expert’s fees for one year if your referral code is correctly used during registration.
Cancellations & Disputes: Clients may cancel engagements at any time without compensation. Disputes over consultation quality will be resolved solely by Waypoint.
Alternate Payment Instructions: Payments may be made to your employer if previously authorized.
Tax Information: Waypoint may require tax identification or equivalent details to ensure compliance.
Non-Payment: Payments may be withheld or recovered in cases of breach of this Agreement or disputed engagements.
Delayed Payments: Payment delays must be reported within 6 months; failure to do so may result in forfeiture.
Third-Party Rights: Clients are third-party beneficiaries and may enforce compliance with these Terms.
Confidentiality Agreements: You may be asked to sign additional non-disclosure agreements for specific engagements.
Reconfirmations: Waypoint may require you to reconfirm terms or accept updates before future engagements.
Indemnification: You agree to indemnify Waypoint for any loss or liability arising from your misconduct, negligence, or breach of agreement.
Limitation of Liability: Waypoint’s maximum liability is limited to INR 50,000 or the engagement fee paid to you. Waypoint is not liable for indirect or consequential damages.
Injunctions: Breaches related to confidentiality or IP rights may entitle Waypoint to seek injunctive relief.
Severability: If any provision is deemed unenforceable, the remaining terms remain effective.
Headings: Section headings are for reference only.
Waivers: A waiver of rights in one instance does not imply waiver in others.
Notices: All communications must be in writing and sent via verified methods.
Governing Law: This Agreement is governed by the laws of Haryana, India. Jurisdiction is exclusively with the courts in Gurugram, India. The governing language is English.
Entire Agreement: These Terms constitute the complete agreement and supersede all prior discussions.
Termination: This Agreement remains in effect until terminated by either party.
Post-Termination Obligations: Confidentiality, IP rights, and other core provisions survive termination.
Amendments: Waypoint may revise these Terms at its discretion. Continued engagement implies acceptance.
Assignment: Waypoint may assign its rights; you may not assign your rights without prior written consent.
